布局医械后，千亿白马医药股实际控制人被抓！

/></p></p><p><span></span><br  /></p><p><strong><span>康美今年的一些列动作都在为铺开全国的医药商业网络布局，而且十分迅速。</span></strong><span></span></p><p><br  /></p><p><span>近日，康美药业发布公告称，公司全资子公司上海康美药业有限公司（以下简称“上海康美”）分别以总价97.27万元收购拙健医疗100%的股权和以总价930.99万元收购瑞特医疗80%的股权。</span></p><p><span><br  /></span></p><p><span>公告显示，拙健医疗主要销售的产品为关节类、创伤类和脊柱类的医疗器械。瑞特医疗的主营业务为第二类、第三类骨科医疗器械的销售，主要产品为脊柱、关节和创伤器械等骨科高值耗材。康美药业在公告中表示，此次收购完成后，公司将获得上述两家企业相关的终端医院资源和医疗器械经营资质，有利于公司拓展当地业务，增加市场份额。</span></p><p><br  /></p><p><span>然而在康美大肆布局医药行业的动作下，今年的行情不容乐观。企业“倒下”的消息频频传来。</span></p><p><span><br  /></span></p><p><span>在不断的“炸雷”中，不少股民都快成为惊弓之鸟了。毕竟，有些上市公司的“雷”，简直是一个接着一个，令股民朋友防不胜防。对于这一点，康美的股民，可谓是感受颇深。</span></p></section><section><p><br  /></p><p><span>在股票市场中，康美药业一直都是一个神奇的存在，被视为众多股民眼中的标准优质个股，不仅个人投资者和机构投资者爱买，就连上海交易所、深圳交易所、证券登记结算有限责任公司和中央汇金公司都是其前十大股东，十几年内，股价上涨了300倍，还有50亿现金分红，为投资者带来了丰厚的利润，在资本市场可谓独享风光，然而这个超级白马股，却在今年爆雷了。</span></p><p><br  /></p><p cms-style="font-L align-Justify"><span>7月9日晚间，</span>康美药业<span>股份有限公司（下称“ST康美”）发布公告称，收到公司实际控制人马兴田先生家属的通知，马兴田先生因涉嫌违规披露、不披露重要信息罪被公安机关采取强制措施。</span></p><p cms-style="font-L align-Justify"><span>2019年8月份，证监会就向康美药业下发了行政处罚告知书，根据告知书中的调查结果，证监会调查显示，2016年至2018年上半年，ST康美分别<strong>虚增营收89.99亿元、100.32亿元、84.84亿元，2018年年报虚增营收16.13亿元</strong>；两<strong>年半时间虚增营业利润39.36亿元，占同期公告营业利润的三分之一</strong>。</span></p><p align-Justify"><strong><span>康美药业此次财务造假不仅是历史造假金额最高的一次，还是态度最恶劣的一次。</span></strong><span></span></p><p cms-style="font-L align-Justify"><br  /></p><p><span>2019年4月30日，当天康美药业发布2018年年报，并发布公告公布，称由于财务数据出现会计差错，造成2017年营业收入多计入88.98亿元，营业成本多计入76亿元，销售费用少计入5亿元，更让外界跌破眼镜的是货币资金多计入299亿元。</span></p><p><p><img /></p></p><p><span>马兴田就涉嫌财务造假发布的道歉信</span></p><p><br  /></p><p><span>4月30日下午，马兴田在接受媒体采访时还表示：“财务差错和财务造假是两件事。”在5月1日凌晨发布的道歉信，马兴田再次强调，“快速发展导致财务管理不完善”。</span></p><p><br  /></p><p><span>然而“财务管理不完善”没有让马兴田摆脱造假嫌疑，之后就有了上述证监会对其夫妇分别处以90万元的处罚。</span></p><p><br  /></p><p><span>在财务造假曝光后，康美药业在2018年5月18日发布公告，主动向上交所申请对公司股票实施“其他风险警示”，公司股票简称由“康美药业”变更为“ST康美”。</span></p><p><br  /></p><section data-style-id="22631"><section><section><p><strong>千亿白马市值已缩水九成</strong></p></section></section></section><p><br  /></p><p><span>康美药业接下来将走向何方无人知晓，但目前的康美药业情况不容乐观。</span></p><p><br  /></p><p><span>根据2019年年报显示，6月17日晚间，ST康美披露2019年年报。报告期内，ST康美全年亏损46.61亿元，上年同期盈利3.74亿元。公司2019年通过自查，发现存在账实不符的情况，对2018年度财务报表进行重述，调减2018年度公司总资产14.83亿元，调减归属于母公司所有者权益22.09亿元，调减归属于母公司所有者的综合收益总额7.61亿元。</span></p><p><br  /></p><p><span>2019年报披露同时，ST康美也更正了2020年一季报，公司一季度营收11.70亿元，上年同期营收49.01亿元，归属于上市公司股东的净利润亏损2.97亿元，上年同期盈利6558.54万元。</span></p><p><br  /></p><p><span>ST康美2019年度大幅亏损并未出乎市场意料。2020年1月23日，ST康美发布2019年度业绩预亏公告，预计2019年度归属于上市公司股东的净利润约为-13.5亿元至-16.5亿元。4月30日，ST康美发布2019年度主要经营业绩报告，披露全年净利润修正为-36.48亿元。6月4日，ST康美发布业绩预告更正公告，披露2019年度净利润修正为-46.15亿元。</span></p><p><br  /></p><p><span><strong>总结：</strong></span></p><p><br  /></p><p><span>其实在阿里、华为、万科、顺丰、京东等一大批优秀企业的发展过程中，我们都能看到这些企业一直在强调向上、向善的企业价值观文化。这些价值观文化，很多时候容易被人看成是唱高调的空话，但其实却是这些企业一直发展壮大的“定海神针”。</span></p><p><br  /></p><p><span>正如日本经营之神稻盛和夫所讲，企业与人一样，往往对自身的蜕变很难察觉，那些由盛而衰的企业，开始也都认为自己不会重蹈覆辙，但由于缺乏积极的企业价值观念，很难抵御诱惑和挫折，由于缺乏明辨是非的标准，随着环境的改变，自身也就会发生堕落。这也就不难理解，为什么很多像康美药业一样，一时得势的企业最终却变成了“流星”。</span></p><p><br  /></p><section
