/></p><p><span>西门子医疗是西门子集团旗下独立运营医疗业务的子公司，是全球医疗解决方案最大的供应商之一，主要业务包括影像、临床治疗和诊断三大领域。在2020年半年财报中来看，西门子在“GPS”三家中<span>增长率最高（+7%），细分业务中临床治疗业务表现最好（+13.7%）。其中<span>影像部分营收45.3亿欧元，在总营收中占比62%</span>；<span>诊断部分营收23.12亿美元，同比+2%，在总营收中占比27%</span>。</span></span></p><p><br /></p><p><span>瓦里安医疗系统公司是全球领先的癌症及其他重大疾病诊断及治疗解决方案的供应商。创立于1948年，是第一家入驻美国加州硅谷的高科技公司。在美国、欧洲和中国设有生产基地，在全球拥有70多个分支机构。是目前世界上最成功的放疗产品公司，占据全球超过50%的放疗市场份额。</span></p><p><span><br /></span></p><p><span>瓦里安从90年代开始进入质子治疗技术的开发和研究。在2009年正式全线进入质子治疗系统及其治疗技术和放疗集成信息化的市场，迅速建立了以超导回旋加速器和笔型束扫描技术为先进技术平台的质子治疗业务，并获得优异的市场认可度及强劲的市场竞争力。</span></p><p><br /></p><section data-support="96编辑器" data-style-id="22631"><section><section><p><strong>02</strong></p></section><section><p><span><strong>西门子放疗曾无比辉煌</strong></span></p></section></section></section><section /></section></section></section><p><span>西门子医疗不仅是全球第一台X光机、第一台超声波实时扫描仪和第一台PET-CT的制造商，在放疗设备领域也曾有一段辉煌的过往。1950年，西门子开发了Betatron电子加速器，实现了深度放疗的关键突破。该装置利用磁场在圆形路径周围加速电子以接近光速，从而首次有效照射深部肿瘤。这项技术被誉为是现代放射治疗的先驱。</span></p><p><br /></p><p><span>而西门子也在此领域保持在第一梯队，不过2012年西门子医疗因为种种原因解散了旗下的放疗事业部，而这件事还跟中国有点联系。</span></p><p><br /><span>1998年，上海开始筹备质子、重离子治疗项目，2003年正式组织开展引进质子重离子设备的前期调研、论证。经过多方比对，上海方面选择了能够提供质子和重离子一体化技术，并提供呼吸门控技术（适合随呼吸而运动的肿瘤）、笔形束扫技术、机械手和在线影像诊断系统的西门子医疗的质子重离子一体化设备，这种一体机西门子在全球仅售3台，另外两台在德国。</span></p><p><br /></p><p><span>2009年，历经9轮谈判，上海最终选择了与西门子公司签订了总价13亿元的系统设备合同。同年，上海市质子重离子项目正式开工建设。然而由于西门子放疗事业部的意外“翻车”，使这个2003年就正式启动，在2014年才开始临床试验，直到2015年才正式对外营业。</span></p><p><br /></p><p><p><img /></span></p><p><span>2008年金融危机发生后，“欧猪”5国（葡萄牙、意大利、爱尔兰、希腊、西班牙）因国债引发的债务危机使欧洲股市、债市和欧元都受到严重拖累。2010年欧债危机彻底爆发，并迅速波及整个欧洲及全球经济。西门子也在这场经济浩劫中受挫，为了应对国际金融危机及国际市场需求的大幅度下滑，西门子公司简化公司结构，撤销了一些利润率低并且与公司核心业务不符的业务部门，此时西门子已经开始考虑放弃放疗业务。</span></p><p><span><br /></span></p><p><span>当时的免疫疗法、靶向治疗等肿瘤治疗方案取得了一定的进展，业内普遍更看好这类技术，对放疗业务信心不足，并于<span>2011年，与德国海德堡（HIT）和马德堡(MIT)治疗中心中断了合同。</span>2012年西门子医疗为了实现工厂的数字化升级，将美国工厂迁回了德国，尽管数字化升级是大势所趋，但也使西门子医疗的放疗领域的核心技术研发进度落后于当时的业内第一梯队。</span></p><p><br /></p><p><span>多方面原因令西门子欲关闭放疗业务，但此时上海项目已进行过半，尽管西门子称愿意承担“违约”所致的一切损失，但项目重新开始不知要耽误多少年，这激发了上海质子重离子医院的求生欲，最终集合了西门子医疗、<span>上海应用物理研究所（应物所）</span>、<span>上海建筑设计研究院</span>等多方力量，终于通过了技术检测，而西门子方面也将继续提供设备的维护服务。在项目结束后，2012年西门子宣布解散“放疗事业部”。</span></p><p><br powered-by="gulangu"><section><br /></section></section><p><span>时过境迁，10年前不被重视的放疗业务焕发了新的生机，昔日霸主西门子也再次回归放疗领域。<span>总体来看，西门子医疗收购瓦里安，一是为了增强自身影响力和竞争力，二是看好肿瘤放疗市场。</span></span></p><p><br /></p><p><span>从行业角度，由于人口老龄化、人类生存环境改变的原因，全球肿瘤患者数量将从2010年的1400万上升至2030年的2500万，肿瘤治疗的市场规模届时将达到200亿美元。而此前备受关注的靶向治疗等技术，却没有取得预期中的进展。反观放疗技术目前仍是肿瘤治疗方案中性价比最高的一种。此外从西门子发布的第三财季报告中可以看出，尽管受疫情影响，西门子医疗的临床治疗业务营收同比下滑了1.8%，但降幅明显优于另外两大业务。因此包括西门子在内的医疗设备生产企业得以重拾对放疗设备未来发展的信心。</span></p><p><span><br /></span></p><p><span>从西门子自身业务链条来看，西门子医疗业务包含体外诊断、<span>影像诊断和高端临床治疗设备，可以说涵盖了肿瘤患者的早期筛查、影像诊断等流程，收购瓦里安后，西门子医疗将集齐肿瘤治疗筛、诊、治的全流程，形成业务闭环。</span></span></p><p><br /></p><p><p><img /></section></section></section><p><span>据悉，<strong>早在西门子解散放疗事业部的2012年，就已经与瓦里安有过接触</strong>，当时双方签订协议，在影像引导的放疗与放射外</span><span>科癌症治疗展开合作，开发能够连接彼此产品的软件接口，在全球范围就放射肿瘤业务展开互惠式营销和代理。双方在美国市场长期共享销售信息数据，并互相享有销售代理权，以向客户机构直接提供肿瘤领域全覆盖的一系列解决方案。</span></p><p><br /></p><p><span>同时西门子近年在MRI、PET等设备的开发方面从未停止，产品线不断进化，而此次交易将把两个在癌症放射治疗诊断等领域已经合作了十多年的合作伙伴聚集在一起。据悉，瓦里安的线性加速器非常适合西门子医疗的MRI机和CT扫描仪，这意味着<strong>西门子在收购瓦里安后，几乎不需要消化新业务，很有可能在极短的时间内就推出相关的一体化解决方案</strong>。</span></p><p><span><br /></span></p><p><span><span>在</span><span>西门子医疗发布的公告中</span><span>表示，瓦里安在放射肿瘤学和相关软件领域拥有创新的解决方案，在多学科综合癌症护理方面成绩斐然，一直处于创新的前沿。</span><span>未来，瓦里安可以和西门子医疗在影像诊断、实验室诊断和介入治疗等领域实现有力互补，这使得</span>西门子的产线覆盖癌症诊治全流程，甚至有能力承接肿瘤医院“代建”业务，而两家也明确表示了</span><span>此次收购预示着两块业务后续更深度的合作，因此在该领域值得期待。</span></p><p><span></span></p><p><br /></section></section></section><p><span>根据瓦里安方面放出的消息，瓦里安已经建立了强大的品牌认知度，因此预计在收购交易完成后，瓦里安仍将保留品牌独立运营，</span><span>按2020上半财年营收计算，瓦里安营收达16.23亿美元，西门子营收达85.62亿美元，两者相加为101.85亿美元，超过了老对手</span><span>GE医疗的86.26亿美元和</span><span>飞利浦医疗的85.54亿欧元（约100.2亿美元）</span><span>，</span><span>挤入全球医疗器械公司前三甲，仅次于美敦力和强生。</span></p><p><br /></p><p><span>在西门子医疗营收一跃成为“GPS”三家之首后，令人不禁好奇老对手方面会采取哪些反击手段，毕竟近年来各方巨头的主要运营思路就是拓展业务线，君不见迈瑞就在不久前开辟了骨科业务？那么我们大胆猜测一下，既然西门子收购了放疗界龙头瓦里安，那么会不会有人对同样业内领先的医科达、安科锐</span><span>“下手”？</span><span>这会不会成为医械巨头“大合体”时代的开端？</span><span>我们拭目以待。</span></p><p><br
