margin-left: auto;" class="" data-type="jpeg" data-ratio="0.6436363636363637" data-w="550" /></p><p><br /></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">青岛海尔昨日公告透露，海尔收购GE(通用电气)家电业务已进行资产交割，交割日为6月6日，海尔最终的支付价格为55.8亿美元。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">记者从青岛海尔董秘室相关人士处获悉，海尔收购GE家电业务已完成大部分资产的交割，余下在沙特、印度等地的一些资产还在走交割的相关程序。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">这起中国家电业至今为止最大一笔海外并购，将有力提升海尔在全球的竞争力，预计从今年下半年起将对青岛海尔的业绩带来正面影响。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">今年1月，海尔签约收购GE家电业务。6月6日(美国东部时间)，交易相关各方完成签署《商标许可协议》、《知识产权交叉许可协议》、《过渡服务协议》、《全球员工服务协议》、《所有权证明》、《出售契约、转让和继承协议》、《保理应收款买卖契约》等与《股权和资产购买协议》相关的补充协议。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">根据海尔与GE于今年5月25日签署的补充协议，鉴于无锡小天鹅已行使优先购买权，海尔于交割日不购买通用电气(中国)有限公司持有的无锡小天鹅通用电器有限公司30%的股权，与这些股权对应的价款1000万美元从交易对价中相应扣除。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">截至6月7日，本次收购的资产交割进展情况如下：美国和波多黎各两个地区的人员转移已完成;除美国和波多黎各员工以外，其他所有本次交易涉及的员工，已完成业务层面的转移，所有员工自交割日起将为海尔的业务服务。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">国家开发银行已在6月3日将本次交易价款中通过并购贷款获取的33亿美元资金汇入海尔美国公司的指定银行托管账户。截至6月6日(美国东部时间)，本次交易的全部价款已由海尔向GE及相关主体支付完毕，总额约为55.8亿美元。这是在基础交易对价54亿美元的基础上进行调整后的金额，主要调整事项包括营运资本调整、小天鹅股权调整、交易税费等相关事项。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">下一步，海尔及GE相关各方在交易交割阶段，还需转让部分标的涉及的股权转让、资产交割及权属;除美国及波多黎各之外的其他地区的人员转移。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">6月6日的交割，标志着GE家电正式成为青岛海尔的一员。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">今后，GE家电总部仍将保留在美国肯塔基州路易斯维尔，并将在现有高级管理团队的引领下，开展日常工作，独立运营。由通用电气家电和海尔的高管团队及两位独立董事组成的公司董事会，将会指导公司的战略方向和业务运营。</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">海尔集团董事局主席、首席执行官张瑞敏表示：“海尔和通用电气家电的企业文化中都具备与时俱进的基因，相信双方的强强联合定能取得1加1大于2的成果。当前的海尔，正致力于转型成为真正的互联网企业，依托互联网，驱动企业从以自我为中心转型为与用户融合共创的平台。通用电气家电拥有优秀的员工和庞大的用户资源，相信能与海尔携手，顺应潮流，实现从传统的家电领先品牌到网器社群平台的转型，成为网络平台的引领者，为用户提供最佳体验。”</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">青岛海尔股份有限公司董事长梁海山表示：“今天公布的消息对于员工、用户、业务伙伴以及广大股东而言，具有积极意义。投资并壮大美国业务是海尔策略的核心组成部分，此次收购将助力我们加速实现拓张目标。海尔尊重信任通用电气家电富有才干的管理团队，并期待与他们携手工作，共同缔造一个在设计生产创新的、高品质的家电产品方面名副其实的全球领导者。”</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">通用电气家电首席执行官Chip Blankenship表示：“能够成为全球家电企业海尔的重要一员，我们倍感振奋。海尔对家电事业的热爱与我们如出一辙，也认同我们的长远目标，希冀成为全球最具竞争力与创新性、以客户为中心的公司。我们将携手找到更好的新方式，帮助客户改善居家生活质量。”</span></p><p style="margin-bottom: 15px;"><span style="font-size: 14px;">此前，海尔集团和通用电气共同签署合作谅解备忘录。双方承诺将在全球范围内合作，共同在智能制造、医疗和工业互联网等领域提升双方企业的竞争力。</span></p><section class="pEditor " style="line-height: 25.6px;
