background-color: rgb(255, 255, 255);">中国将出重拳整治技术密集型企业的“专利流氓”行为。《经济参考报》记者3日获悉，国家发展改革委价格监督检查与反垄断局组织召开筹备会议，正式启动《滥用知识产权反垄断规制指南》（以下简称《指南》）的研究起草工作。专家表示，《指南》的起草和颁布，对信息与通讯、医药、医疗器械等领域的知识产权行使行为以及产品和服务销售行为将产生实质影响。 　　医疗器械行业被重点“关照” 　　据悉，《指南》将针对与知识产权有关的垄断协议、滥用市场支配地位和经营者集中等行为，细化《反垄断法》相关条款，特别是对于何种情形可以主张豁免给出具体指引。 　　记者了解到，技术密集型产业如信息与通讯、医药、汽车、农机、种业等是知识产权领域垄断行为高发区，发改委主办的“IDC案”和“高通[微博]案”以及工商总局对微软反垄断调查均属于关注知识产权滥用行为，对这些行业实施更强势的反垄断执法已成趋势。 　　“虽然专利权对技术的繁荣与发展有巨大的促进作用，但是，如果放任其成为权利人攫取垄断利益的工具，那么就会使所谓的‘专利蟑螂’或‘专利流氓’横行于世，成为技术进步和产业发展的绊脚石。 　　与此同时，不当或过度的反垄断执法也可能打击创新、导致研发不足。”有发改委价监局官员指出，针对知识产权领域的反垄断执法，让知识产权和反垄断保持平衡是重点。 　　今年4月，国家工商总局颁布了《关于禁止滥用知识产权排除、限制竞争行为的规定》，对行使知识产权构成的非价格垄断协议和滥用市场支配地位行为作出规定。 　　中国政法大学教授时建中指出，此次由发改委牵头起草的《指南》预期将对与知识产权有关的价格和非价格垄断协议、滥用市场支配地位行为、经营者集中等三大垄断行为作出细化，特别是对于何种情形可以根据《反垄断法》第15条主张豁免，何种情形可能被认定具有第17条所要求的“正当化理由”给出具体指引等，从而达到减少执法机关自由裁量空间，降低企业合规成本等目的。 　　立足本土借鉴他国 <p style="margin-top: 0px; margin-bottom: 0px; padding: 0px; list-style: none; border: 0px; line-height: 30px; font-size: 15px; color: rgb(85, 85, 85); font-family: Arial, 宋体, Helvetica, sans-serif; white-space: normal; background-color: rgb(255, 255, 255);">　　据了解，在工作程序上，下一步发改委将委托有关方面开展有针对性的课题研究，并在此基础上形成初步草案。之后，发改委将广泛征求有关方面的意见，在充分研究和论证的基础上，形成成熟的草案，并按法定程序征求公众意见，经讨论通过后由国务院反垄断委员会发布。 　　而对于《指南》该如何起草，国家发改委价格监督检查与反垄断局副局长卢延纯表示，要处理好四方面关系：立足本土与借鉴世界先进经验的关系、规则确定性与制度灵活性的关系、问题导向与适度前瞻的关系、全面完善规则与有所选择的关系等。 　　针对如何处理好立足本土与借鉴世界先进经验的关系，社科院美国研究所副研究员苏华介绍说，美欧反垄断法实施多年，在规制滥用知识产权限制竞争行为时，美国适用的合理原则和欧盟适用的禁止加豁免模式在实践中不断修正发展，值得中国参考。 　　例如，在我国，高通反垄断调查以国家发改委60.88亿元罚单和高通实施一揽子整改措施而结束。但高通目前还面对来自欧盟、美国、韩国等国家和地区的反垄断调查。欧盟近年来逐步加大对高通、苹果和谷歌等高科技公司的反垄断审查力度。 　　高通在4月提交监管部门的文件中称，欧盟委员会去年10月份通知其正在调查高通销售和推广芯片产品的方式，以及提供给客户的折扣和其他财务奖励措施。5月，欧盟委员会向高通的竞争对手发出调查问卷，询问高通的经营方式及专利授权方式对这些公司带来了哪些影响。 　　4月28日，韩国公平贸易委员披露其正在调查美国甲骨文[微博]公司，以查明该公司在维护服务合同中捆绑新软件的做法是否是反竞争行为。韩国监管机构指出，甲骨文公司还要求客户对正在使用的所有甲骨文软件支付维护服务费，而不是让客户挑选希望获得哪一款软件的维护服务。 　　与此同时，反垄断私人诉讼同样值得关注。5月7日，美国加州高等法院推翻了下级法院驳回起诉的决定，就德国医药巨头拜耳公司就其Cipro抗生素药达成的反向支付协议重启集团诉讼程序。该协议约定拜耳向Barr Laboratories公司支付3.98亿美元，Barr Laboratories同意推迟其研制的Cipro仿制药入市。 　　根据2013年美国联邦最高法院的一项判决，原研药和仿制药企业间为和解专利诉讼而达成的反向支付协议可能触犯反托拉斯法。法院表示，原告美国消费者集团须证明该反向支付协议不仅仅是为了避免拜耳和Barr之间的专利诉讼成本，而是旨在推迟仿制药进入市场。 　　记者了解到，上述跨国企业的“专利流氓”行为在中国也有部分类似的情况，例如在滥用专利权方面，近期陆续有针对专利药定价以及电信行业专利主张实体涉嫌垄断行为的举报。对此，有关部门正在进行研究。<p style="margin-top: 0px;
