/></section></section></section></section></section></section><p><span><strong><span>2.8亿元收购美敦力业务</span></strong></span></p><p><span> </span></p><p><span>近日，爱康医疗发布公告称，4月6日，其间接全资附属公司爱康医疗国际有限公司已签订购股协议，</span><span><strong>收购美敦力康辉控股旗下北京理贝尔生物工程研究所有限公司全部股权，总金额4020万美元，折合人民币约2.8亿元。</strong></span></p><p><br  /></p><p><p><img src="image/20201014/6b9f90a2d7e1a466eee1dc156212cc80_2.png" /></p></p><p><span><br  /></span></p><p><span>收购完成后，理贝尔将成为爱康医疗的全资子公司。</span></p><p><br  /></p><p><span>根据爱康医疗官微，</span><span><strong>理贝尔于1996年在中国北京成立，是一家从事生产、销售及研究骨科植入物及手术器械的公司，拥有成熟的脊柱与创伤产品线。</strong></span></p><p><span> </span></p><p><span>爱康医疗公告显示，</span><span><strong>2018年理贝尔收入1.4亿元，税后盈利约731万元；2019年收入约8600万元，同比下降38.6%，税后盈利约967万元，同比增长32.3%。</strong></span></p><p><br  /></p><p><span>理贝尔是美敦力康辉控股旗下公司，据每经网报道，2012年11月，美敦力正式宣布收购康辉控股(中国)公司，交易价格为8.16亿美元，原康辉控股旗下“康辉”和“理贝尔”两个品牌的骨科产品保留。</span></p><p><br  /></p><p><span>美敦力这一并购是当时在本土以外的最大并购案，并购后的康辉控股将从纽约证交所退市，成为美敦力首个总部在美国之外的业务部门。</span></p><p><br  /></p><p><span>与爱康医疗过往收购不同的是，此次收购涉及资金比较大，超过3亿元港元。根据4月7日人民银行汇率中间价1美元对人民币7.0939元换算，4020万美元约等于人民币2.852亿元，约等于3.09亿港元。此次收购金额较2018年以1.84亿港元收购英国JRI公司（主要从事骨科植入及相关工具业务）要出高出不少。</span></p><p><br  /></p><p><span>当时，美敦力执行副总裁对媒体表示，美敦力虽然进入中国时间不短，但是定位更像高端医疗器械进口商，并购康辉控股是美敦力在中国迈出的本土化的重要一步。</span></p><p><br  /></p><p><span>此外，相对美敦力定位高端，康辉控股的产品价格相对经济，此项并购可帮助美敦力拓展包括中国在内的新兴市场的中低端市场。</span></p><p><span><br  /></span></strong></span></p><p><span>爱康医疗为什么收购理贝尔？</span></p><p><span><br  /></span></p><p><span>官网显示，爱康医疗主要将3D打印技术商业化，同时应用于骨关节及脊柱置换内植入物，业务主要包括3D打印产品业务以及髋膝关节产品业务。</span></p><p><span><br  /></span></p><p><span>根据最新业绩公告，截至2019年12月31日，爱康医疗实现收入约9.3亿元，较2018年增长54.3%；实现盈利2.7亿元，较2018年增长84.2%。</span></p><p><br  /></p><p><span>其中3D打印产品实现销售收入1.2亿元，同比增长76.5%；髋膝关节产品实现收入7.74亿元，同比增长55.7%。</span></p><p><span><br  /></span></p><p><span><strong><span>爱康医疗在公告中指出，收购理贝尔有利于进一步拓宽公司的骨科业务产品线，实现骨科平台型公司的发展，公司一直致力于寻求进入骨科其他细分领域的机会，拓宽骨科业务的产品线。</span></strong></span></p><p><span><strong><span><br  /></span></strong></span></p><p><span><strong><span>爱康医疗在官微中也表示，收购完成后，公司将拥有关节、脊柱与创伤三大骨科耗材产品线。</span></strong></span></p><p><span><br  /></span></p><p><span>据介绍，理贝尔在脊柱和创伤领域24年，拥有较完善的产品线、稳定的质量以及成熟的销售渠道，可以帮助爱康医疗快速的拓展脊柱和创伤业务并产生销售收入。</span></p><p><br  /></p><p><span>爱康医疗完成收购理贝尔后，理贝尔在成熟的脊柱内固定系统可与爱康医疗在3D打印脊柱进行深度融合，进一步完善爱康医疗在脊柱产品组合。除此之外，在创伤领域，理贝尔可将接骨板、髓内钉及固定系统等创伤产品与爱康医疗3D创伤产品技术进行结合，带动其创伤临床应用的创新发展。因此，收购理贝尔是可进一步拓宽在骨科业务及创伤业务的产品线，进而提升其核心竞争力的同时，斩落更多的市场份额。对于爱康医疗长远发展来看确实是好事。</span></p><p><br
