data-tools="gulangu"><section><section><section><section><section><section><p><br  /></p></section><section><span>9月1日晚，深圳证监局官网披露了深圳华大智造科技股份有限公司辅导备案公示文件。公告显示，华大智造拟首次公开发行股票并在境内证券交易所上市，现已接受中信证券股份有限公司的辅导，并于8月21日在深圳证监局进行了辅导备案。这意味着华大智造正式进入上市辅导期。<br  /></span></section><section><span><br  /></span></section><p><p><img /></p></p><section><br  /></section><section><span>此前即有消息传出华大集团正考虑最早于今年让华大智造在科创板上市，计划IPO融资10亿美元。</span></section><section><span><br  /></span></section><section><span>与上市公司华大基因一样，华大智造同样属于华大集团旗下子公司。</span></section><section><span><br  /></span></section><section><span>值得注意的是，筹备上市前，华大智造已先后完成两轮融资，受到各方资本追逐。</span></section><section><span><br  /></span></section><section><span>今年5月28日，华大智造宣布完成超过10亿美元B轮融资，领投方为IDG资本、CPE，华兴新经济基金、国方资本、华泰紫金、钛信资本、上海赛领、基石资本、上海鼎峰、国泰君安创投等跟投，老股东中信证券/金石投资、松禾资本等追加投资。</span></section><section><span><br  /></span></section><section><span>这是继2019年5月首轮募资后，华大智造完成的第二轮大规模融资。2019年5月9日，华大智造披露首轮募资规模超过2亿美元，投资人为中信金石，松禾资本、东证资本等。</span></section><section><span><br  /></span></section><section><span>华大智造涉及的基因测序仪业务是华大控股“基因组学应用”全产业链布局的一环。</span></section><section><span><br  /></span></section><section><span>据此前2019年华大智造方面的披露，公司已累计投入约50亿元研发经费，主力机型是MGISEQ-2000，其单次运行能够完成最大1080Gb的下机数据，在PE100读长模式下满负荷运行可产生60Gb的下机数据，仅需不到48小时，平均一天能完成24个肿瘤样本的快速检测。</span></section><section><span><br  /></span></section><section><span>而测序仪板块也一直是华大的“杀手锏”之一，早年间，由于二代测序领域被美国公司Illumina垄断，处于中游基因测序代工行业的华大基因一直受行业巨头Illumina掣肘。</span></section><section><span>2019年据华大智造方面披露，三年来其收入复合增长率超过200%，在中国基因测序仪市场已占据约1/3的市场份额。截至目前，其全球装机量超1100台，涵盖16个国家及地区，用户超过300家。</span></section><section><span><br  /></span></section><section><span>长期以来，国内上游市场一直处于被欧美企业垄断的窘境中，以Illumina、Life Tech和罗氏为代表的欧美企业凭借超高通量和相对较长读长的优势，在中国占有大部分的市场份额。鉴于成本和技术难度等问题，国内进行测序设备研发的企业数量也并不多。根据此前不完全统计显示，目前国内进行测序设备研发的企业仅10家左右，涉及耗材及试剂研发的企业仅25家左右。</span></section><section><span><br  /></span></section><section><span>在依赖进口的情况下，国内基因测序产业，无论科研还是临床都面临测序成本过高的窘境。测序设备国产化需求迫切，催生了三种国产化的方法：</span></section><section><span><br  /></span></section><section><span>一是贴牌，国内企业与欧美测序仪厂商合作，直接在其产品上贴上中国企业的牌子；</span></section><section><span>二是收购国外企业，国内基因测序企业通过收购国外测序仪生产商，获得其测序设备的知识产权，并完善自身产业布局；</span></section><section><span>三是完全自主产权的研发，也是真正意义上的国产化。</span></section><section><span><br  /></span></section><section><span>2010年，华大从Illumina手中购入128台高通量测序仪，一举成为全球最大的基因测序机构。然而，之后，Illumina随即宣布其配套试剂价格上涨，迫使华大走上国产测序仪研发的自主之路。华大的测序仪技术收购自美国的测序仪上市企业Complete Genomics。尽管这场收购在当时是无奈之举，且有业内人士表示CG公司彼时测序仪技术与Illumina存在较大差距，但此次收购仍被誉为“中国人从美国拿走了基因测序行业的‘可口可乐’配方”。</span></section><section><span><br  /></span></section><section><span>此前在2014年下半年，Illumina提高了部分试剂的价格，减少对华大基因的价格优惠，华大基因立刻“感冒”，当年毛利率低至45.92%。华大基因也在招股说明书中表示：“2014 年公司综合毛利率较低，原因系当年原材料采购成本较高、生育健康类服务短期暂停，以及公司主动下调部分业务销售单价应对市场竞争。”</span></section><section><span><br  /></span></section><section><span>收购CG公司之后，华大方面不断加码上游基因测序仪业务，通过部分原料国产化替代之后，2015年-2017年，华大基因毛利率分别增至55.55%、58.44%和56.87%。</span></section><section><span><br  /></span></section><section><span>2016年成立的华大智造在当年就成为了华大基因第三大供应商，对上市公司的销售占比为10.61%。</span></section><section><span><br  /></span></section><p><span>来源：21世纪经济报道</span><br  /></p><p><br  /></p></section></section></section></section><section><section><section
