hm_fix="289:275"><strong><span>或将继续拆分子公司，IPO上市</span></strong></section></section></section></section><section><br  /></section><p><span>威高集团有限公司始建于1988年，拥有40多个子公司，是国内医疗器械领军企业之一。在公告发布之前，就曾有媒体报道过山东威高可能考虑分拆其子公司爱琅(Argon Medical Devices)上市的消息，据报道称，威高分拆的IPO首选地可能是香港，预期上市时估值20亿至30亿美元。</span></p><p><span>&nbsp;</span></p><p><span>根据年报，山东威高包括<strong>临床护理、创伤管理、血液管理、药品包装、医学检验、麻醉及手术、骨科产品及介入产品八个主要业务领域</strong>。2019山东威高实现营收<strong>103.6亿元</strong>，同比增长<strong>17.7%</strong>，其中介入业务包括<strong>肿瘤介入、血管介入、影像介入，共实现营收约16.6亿元，较去年增长14.6%，占比总营收16%。</strong></span></p><p><span><br  /></span></p><p><span>就管理而言，山东威高目前分为六个经营分部：<strong>医疗器械产品、骨科产品、介入产品、药品包装产品、血液管理产品及其他</strong>，其中<strong>介入产品由爱琅生产</strong>。爱琅主要从事生产及销售用于介入放射学、血管外科学、介入心脏学及肿瘤学的医疗器械，是山东威高的海外拓展平台及及介入产品业务扩张平台。</span></p><p><span><br  /></span></p><p><span>2018年1月23日，山东威高拥有89.81%权益的附属公司WW Holding以<strong>54.5亿元</strong>完成收购爱琅100%股份。山东威高官网信息显示，爱琅公司2016年净收入<strong>2.25亿美元</strong>，收购时，其拳头产品包括穿刺活检产品、血管介入类产品和引流导管，主要服务于肿瘤科和心血管科的介入治疗，核心产品在美国市场占有率都位居前三，在全球各大主要市场也都有很高的知名度。</span></p><p><span><br  /></span></p><p><span>爱琅，于1972年成立，总部位于美国德克萨斯州，在全球拥有约800名员工。</span></p><p><span><br  /></span></p><p><br  /></p><ul><li><p><span>2016年收益为2.25亿美元，致力于介入放射、血管介入等医械产品的研发、制造、销售，其拳头产品包括穿刺活检产品、血管介入类产品和引流导管，主要服务于肿瘤科和心血管科的介入治疗。</span></p></li><li><p><span>2003年11月，被Roundtable Healthcare Partners III, L.P.收购.</span></p></li><li><p><span>2010年9月，收购美国BD公司CCS（重症监护），EDC（外周中心静脉导管）和OS（眼科手术器械）系列产品。</span></p></li><li><p><span>2013年4月，收购美国爱德华生命科学的介入产品业务（一次性及重复使用的活检产品、引流管及血管介入产品），以巩固其现有介入血管产品业务的市场地位，丰富其活检类产品。</span></p></li><li><p><span>2014年9月，收购Promex Technologies，该公司主要产品为软组织活检产品。</span></p></li><li><p><span>2016年1月，从Rex /></p></p><p><span>威高网站截图</span></p><p><br  /></p><p><span>2020年3月5日，威高研发的具有中国自主知识产权的Xinsorb心祥支架（生物可吸收冠脉雷帕霉素洗脱支架系统）通过了国家药品监督管理局审批并成功上市。Xinsorb心祥支架在全国38家医院为1200多名受试者完成了支架植入，顺利完成了国内样本临床试验。</span></p><p><span><br  /></span></p><p><span><p><img hm_fix="289:275"><strong><span>威高骨科曾拆分上市</span></strong></section></section></section></section><section><br  /></section><p><span>除了考虑拆分介入手术之一次性医疗器械业务，6月11日，威高股份发布公告称，建议分拆山东威高骨科材料股份有限公司并于科创板独立上市。当时董事会宣布，威高骨科已向上海证券交易所提交建议于科创板上市的申请。</span></p><p><span><br  /></span></p><p><span>早在2019年12月30日，威高股份就发布公告称，内幕消息建议分拆威高骨科，并于中国一间证券交易所上市。当日，威高骨科财务顾问就申请有关建议分拆上市之上市前辅导过程向中国证券监督管理委员会山东监管局提交申请。</span></p><p><span><br  /></span></p><p><span>威高骨科主要从事制造及销售植入式骨科医疗器械，包括脊柱、创伤及关节产品。其亦生产脊柱、创伤及关节植入手术使用的手术器械及工具。公告显示，目前威高股份直接及间接持有威高骨科约80.53%的股权。在完成科创板上市后，预计威高骨科将成为威高股份的附属公司。</span></p><p><span><br  /></span></p><p><span>根据2019年年报，威高股份产品种类繁多，包括临床护理、创伤管理、血液管理、药品包装、医学检验、麻醉及手术相关产品、骨科及介入产品八个主要业务领域。</span></p><p><span><br  /></span></p><p><span>2019年，威高股份骨科业务实现营业额约15.56亿元，较2018年增长31.8%，收入占总营业额比例为15%，较2018年增长1.6%。原因是威高股份通过进一步巩固在脊柱领域的市场地位、加大关节产品市场推广，以及渠道下沉、搭建物流平台等措施，较好的拉动销售增长。</span></p><p><br  /></p><p><span>结语：根据上海证券报消息，证监会上市公司监管部副主任孙念瑞曾表示，分拆上市对上市公司具有三方面好处。一是经营更加专业，企业可以专注擅长领域；二是信息更加透明，分拆后独立上市的公司需要独立披露；三是估值更加合理，不同的业务有独立的市场定位、独立的估值，分拆后企业估值更加合理。</span></p><p><br  /></p></section></section></section></section></section></section></section></section></section></section><section><section
